Terms of Service

1. The YuhRestaurant Platform

YuhRestaurant provides technology for restaurants to create and maintain a professional online presence. Available functionality may include restaurant pages, digital menus, restaurant information, opening hours, location information, contact links, WhatsApp links, social media links, galleries, events, external ordering and reservation links, back-office management tools, hosting, maintenance, and other features released from time to time.

Features may vary by account, subscription level, location, or stage of product development.

2. Eligibility

You must have legal capacity to enter into a binding agreement to use YuhRestaurant. If you use YuhRestaurant for a restaurant or other organization, you represent that you have authority to act on behalf of that organization.

3. Accounts

Some YuhRestaurant features require an account. You agree to provide accurate account information, keep it current, protect your password and credentials, restrict account access to authorized users, and notify us promptly of suspected unauthorized access.

You are responsible for activity conducted through your account by authorized users. We may require verification before allowing sensitive account changes.

4. Subscription Plans and Fees

Use of certain YuhRestaurant services requires payment. Current standard pricing may include:

• One-time setup: JMD $35,000
• Monthly subscription: JMD $5,000 per month
• Optional Accept orders online add-on: additional JMD $30,000 setup, additional JMD $3,000 per month

The specific fees applicable to a restaurant are those stated in the accepted order, Service Agreement, invoice, checkout, or other written confirmation provided by YuhSolutions.

5. Prices Are Subject to Change

All YuhRestaurant prices are subject to change. We may revise setup fees, monthly subscription fees, add-on prices, feature pricing, usage-based fees, and other charges. New pricing may apply immediately to new purchases after publication or notice.

For an existing recurring subscription, we will provide at least 30 days' notice before an increase in the recurring subscription price takes effect. If you do not agree to a revised recurring price, you may cancel the affected subscription before the new price becomes effective. Price changes will not retroactively increase charges for a billing period already paid.

6. Billing

Recurring subscription charges are generally billed in advance. You agree to pay all applicable fees associated with your account. If automatic billing is introduced or enabled, you authorize the applicable payment method to be charged according to your subscription.

You are responsible for maintaining valid billing information. Applicable taxes or transaction charges may be added where required.

7. Late or Failed Payments

We may suspend or restrict paid services where payment is overdue. Accounts that remain unpaid may be terminated. Amounts owed before suspension or termination remain payable.

8. Cancellation

Unless otherwise stated in a separate agreement, recurring subscriptions may be cancelled by providing at least 30 days' notice. Cancellation prevents future service beyond the applicable cancellation or paid period.

Setup fees and fees already paid are generally non-refundable once the applicable service has been provided or setup work has commenced, except as required by law.

9. Restaurant Content

Restaurant users may upload or provide content such as menus, prices, photos, logos, descriptions, business information, events, promotions, and contact information. You retain ownership of your original content.

You grant YuhRestaurant a limited, non-exclusive license to host, store, reproduce, display, resize, format, and process that content as necessary to provide the service.

10. Your Responsibility for Content

You are responsible for ensuring restaurant content is accurate, lawful, current, not misleading, properly licensed, and appropriate for publication. YuhRestaurant does not independently verify restaurant menu prices, ingredients, opening hours, allergen claims, availability, promotional terms, or similar restaurant information. Restaurants are responsible for keeping this information current.

11. Intellectual Property Rights

The YuhRestaurant platform and its underlying technology belong to YuhSolutions or its licensors. This includes software, source code, platform architecture, templates, components, administrative interfaces, back-office functionality, database structures, design systems, documentation, branding, and product features.

These Terms do not transfer ownership of the YuhRestaurant platform to restaurant users.

12. Limited Licence

While your subscription is active and you comply with these Terms, YuhSolutions grants you a limited, revocable, non-exclusive, non-transferable licence to access and use applicable YuhRestaurant functionality for your legitimate business purposes.

You may not sell, sublicense, reverse engineer, copy, reproduce, or commercially exploit the YuhRestaurant platform except as expressly permitted.

13. Prohibited Activities

You may not:

• Access another user's account without authorization
• Attempt to bypass security controls, probe or test the platform without authorization, or introduce malware
• Scrape the platform in a manner that damages or disrupts the service, or reverse engineer protected portions of the platform
• Use YuhRestaurant for fraud or unlawful conduct, or infringe third-party rights
• Impersonate another business or person, interfere with another user's access, or use the service in a manner reasonably likely to damage YuhRestaurant

14. Third-Party Services

YuhRestaurant may connect or link to third-party services. Examples may include WhatsApp, Google Maps, social media platforms, ordering and delivery platforms, reservation and ticketing services, analytics providers, hosting providers, and domain providers.

Third-party services are governed by their own terms and privacy policies. YuhSolutions is not responsible for the operation, availability, content, pricing, or policies of a third-party service.

15. Ordering and Reservations

At the current stage of the standard YuhRestaurant service, ordering and reservation buttons may direct users to third-party systems already used by the restaurant. A restaurant's presence on YuhRestaurant does not mean YuhRestaurant processes or fulfils the restaurant's orders or reservations unless a YuhRestaurant native feature has expressly been activated.

Native ordering and reservation functionality may be introduced as separate products or paid add-ons.

16. Future Products and Features

YuhSolutions may develop new YuhRestaurant functionality. Potential future products may include online ordering, reservations, delivery tools, promotions, advanced analytics, multi-location tools, POS integrations, and payment functionality.

Product roadmaps, mockups, sales discussions, website descriptions, or references to future functionality are informational and do not guarantee release. Features may be delayed, changed, cancelled, or priced separately.

17. Platform Updates

YuhRestaurant may change over time. We may add, improve, redesign, replace, or remove features; change technical infrastructure; modify workflows; and address security issues. We will use reasonable efforts to avoid materially removing core paid functionality without appropriate notice.

18. Availability

We work to keep YuhRestaurant available and reliable, but we do not guarantee uninterrupted service. Availability may be affected by maintenance, software errors, network or hosting failures, security incidents, third-party services, internet infrastructure, and events outside our reasonable control.

19. Maintenance

We may perform planned or emergency maintenance when reasonably necessary. Where practical, we may provide notice of maintenance expected to cause significant interruption.

20. Security

We use reasonable technical and organizational measures designed to protect the YuhRestaurant platform and information entrusted to us. No online service can guarantee absolute security. Users are responsible for maintaining appropriate security over their own devices, credentials, staff access, and third-party accounts.

21. Suspension

We may suspend access where reasonably necessary because of non-payment, suspected fraud, security risk, illegal activity, material violation of these Terms, unauthorized access, threats to the platform or other users, or legal or regulatory requirements. Where appropriate, we will provide an opportunity to correct ordinary violations.

22. Termination

You may terminate your use of YuhRestaurant according to your applicable Service Agreement or subscription terms. We may terminate access for material breach, prolonged non-payment, fraud, unlawful activity, or serious security concerns. After termination, restaurant pages and account functionality may no longer be available.

23. Privacy

Our collection and use of personal information is described in the YuhRestaurant Privacy Policy. Restaurants using third-party services should also review the privacy policies of those providers.

24. Disclaimer of Business Results

YuhRestaurant provides technology and online-presence tools. We do not guarantee restaurant revenue, customer traffic, orders, reservations, leads, search rankings, social media growth, or marketing results. The success of a restaurant depends on many factors outside our control.

25. Disclaimer of Warranties

To the maximum extent permitted by law, YuhRestaurant is provided on an "as available" basis. We do not warrant that the service will always be uninterrupted, that every feature will always remain available, that the platform will be completely error-free, that third-party services will continue functioning, or that every browser or device will behave identically.

Nothing in these Terms limits a warranty or right that cannot legally be excluded.

26. Limitation of Liability

To the maximum extent permitted by law, YuhSolutions will not be liable for indirect, incidental, consequential, punitive, or special damages arising from YuhRestaurant. This includes losses relating to lost revenue, lost profits, lost business opportunities, business interruption, lost goodwill, and third-party platform failures.

Where liability cannot otherwise be excluded, YuhSolutions' aggregate liability relating to the paid YuhRestaurant service will, to the maximum extent permitted by law, be limited to the amount paid to YuhSolutions for the affected service during the six months preceding the event giving rise to the claim.

27. Indemnification

Business users agree, to the extent permitted by law, to indemnify YuhSolutions against third-party claims arising from content supplied by the business, products or services offered by the business, intellectual property infringement caused by business-supplied materials, unlawful use of YuhRestaurant, or false or misleading business information.

28. Changes to These Terms

We may update these Terms as YuhRestaurant evolves. The "Last updated" date will indicate the latest revision. Where a change materially affects existing paid users, we will use reasonable efforts to provide advance notice. Pricing changes are governed by Section 5. Continued use after updated Terms become effective constitutes acceptance where permitted by applicable law.

29. Governing Law

These Terms are governed by the laws of Jamaica. Disputes that cannot be resolved informally may be brought before an appropriate court or dispute resolution forum in Jamaica.
